We are looking to hire a transaction manager for our client, a multi-billion-dollar financial services institution. The role provides an exceptional opportunity to work on a broad range of real estate financing capacities across a diverse mix of loan products covering a variety of collateral types. Such capacities include structuring new loan products with the team head; working with originators, underwriters, and the capital markets team to draft, negotiate, and finalize term sheets; working with external counsel on active deals; working with underwriters to diligence collateral; working with closers and internal counsel to complete transactions; and working with the deal team on various asset management matters. The loan products include fixed rate CMBS loans; floating rate balance sheet loans (a substantial portion with future advances or customized reserve structures); loan sales and purchases; and senior/subordinate loans and intercreditor agreements.

Essential Job Functions:
- Manage documentation, closing, asset management, and securitization needs of a diverse, portfolio of commercial real estate loans.
- Provide subject matter expertise on complex commercial real estate transactions identifying potential issues and solutions.
- Engage with and manage external counsel in the preparation and finalization of loan documents, all in accordance with policy, securitization requirements, credit standards, and deal approvals.
- Draft and revise term sheets in collaboration with originators, underwriters, and capital markets team members.
- Identify issues with respect to loan diligence materials and work with external counsel and the deal team to address effectively.
- Negotiate loan documents to reduce or eliminate legal and other risks.
- Review and facilitate finalization of aspects of asset summary reports relating to loan documentation or legal diligence.
- Liaise with closers on internal KYC processes and with closers and internal counsel on closing activities.
- Support the deal team on asset management issues, including review and analysis of related loan documentation.

Qualifications/ Requirements:
- A law degree from an accredited institution.
- Minimum four years of proven and progressive commercial real estate transaction experience at an AM Law 100 law firm or a combination of an AM Law 100 law firm and in-house experience at a comparable financial services institution.
- Extensive experience with both fixed rate and floating rate loans.
- Strong knowledge of commercial real estate loan products and documentation; risk management, servicing, and asset management principles for commercial real estate loans; and state laws governing commercial mortgages or relating to commercial real estate transactions.
- Ability to make decisions and evaluate situations independently and as appropriate, together with external counsel and deal team members, to develop and implement efficient and appropriate solutions to issues.
- Ability to identify, assess, and mitigate risks relating to loan diligence, documentation and/or closing processes, and ensure adherence to banking rules and regulations, internal policies and procedures, and securitization requirements.
- Strong and effective analytical, decision-making, organizational, communication and customer service skills, as well as close attention to detail.

The annual full time base salary range for this role is ($225,000 - $300,000). Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location and alignment with market data. Additionally, certain positions may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility and SitusAMC Senior Management approval. SitusAMC offers PTO and paid holidays, the terms of which are set forth in the program policies.
